HERM Logic – Online Sales Terms & Conditions

1. Introduction
Welcome to HERM Logic Online Sales, operated by HERM Logic LLC and HERM Group Limited (“HERM,” “we,” “us,” or “our”). These Terms & Conditions govern all product inquiries, quotations, order confirmations, and purchases made through https://www.hermlogic.com (“Website”).
By submitting a Request for Quote or Price (“RFQ/P”) and proceeding with an Order Confirmation, you acknowledge that you have read, understood, and agreed to be bound by these Terms & Conditions. If you do not agree, you must not submit an RFQ/P or place an order.
2. Definitions
“We,” “us,” “our” — HERM Logic LLC and HERM Group Limited
“You,” “your” — the customer purchasing products or using the Website
“Products” — all HERM-branded equipment, including the HERM Lifter series
3. Order Acceptance
All orders submitted through our Website or via RFQ/P are considered offers to purchase and are subject to acceptance by HERM.
We reserve the right to refuse, cancel, or modify any order for reasons including, but not limited to:
Product availability
Pricing or typographical errors
Incomplete or inaccurate information
Suspected fraud or misuse
Regulatory or export restrictions
If payment has been received for a cancelled order, a refund will be issued promptly.
4. Pricing
All prices are listed in USD (United States Dollars) unless otherwise stated. Prices may change at any time without notice.
We make every effort to ensure accuracy; however, errors may occur. If a pricing error is identified:
We will notify you before processing the order
You may choose to proceed at the corrected price or cancel the order
HERM is not responsible for currency conversion fees, bank charges, or international transaction costs.
5. Payment Terms
We currently accept Bank Direct Deposit as our primary payment method.
You agree to:
Review your invoice carefully before payment
Confirm product details, quantities, and pricing
Email proof of payment to admin@hermlogic.com on the same business day
If alternative payment methods (e.g., PayPal) are offered, you agree to pay the full invoice amount including applicable taxes, duties, and shipping fees.
Orders are not accepted until payment is received and verified.
6. Shipping & Delivery
We aim to ship orders within the agreed or scheduled delivery timeframe. Delivery times vary based on region, carrier, customs clearance, and shipping method.
Shipping costs, duties, taxes, and import fees are the responsibility of the customer unless otherwise stated.
HERM is not liable for delays caused by:
Customs inspections
Carrier disruptions
Weather events
Force majeure circumstances

7. Returns & Refunds
HERM operates as a Lean Manufacturer. Due to global variations in electrical standards (voltage, plugs, inlets, outlets) and the requirement for pre‑dispatch testing, all HERM Lifter units are classified as:
“Custom‑Built” or “Made‑to‑Order” products.
Accordingly:
All sales are final
Returns or refunds are not accepted, except where required by law
Warranty coverage is provided (see Section 8)
This manufacturing model enables competitive global pricing and minimizes waste.
8. Product Warranty
HERM provides a 24‑month (2‑year) manufacturer’s parts warranty for the following models:
HERM Ultra Lite 250
HERM Ultra 260
HERM Lite 300
Warranty Coverage
The warranty covers defects in materials or workmanship under normal use.
Warranty Exclusions
The warranty does not cover damage caused by:
Misuse, abuse, or improper operation
Neglect or lack of maintenance
Unauthorized repairs or modifications
Incorrect installation
Environmental damage or Acts of God
Back‑to‑Base (B2B) Warranty Process
Replacement parts are supplied FOB (Freight on Board)
Defective parts must be returned to HERM USA within 7 days, freight prepaid
Claims must include proof of purchase and a description of the issue
HERM reserves the right to inspect returned parts before approving warranty claims.
9. Limitation of Liability
To the fullest extent permitted by law, HERM is not liable for:
Indirect, incidental, or consequential damages
Loss of profits, business interruption, or data loss
Damages resulting from improper installation or misuse
Your exclusive remedy is limited to repair or replacement of defective parts under the warranty terms.
10. Governing Law & Dispute Resolution
These Terms & Conditions are governed by the laws of the United States of America.
Any dispute arising from purchases or use of the Website shall be resolved through:
Binding arbitration or mediation, in accordance with the Federal Arbitration Act and the Texas General Arbitration Act
Proceedings shall take place in the State of Texas, unless otherwise required by law
You agree to waive any right to participate in class actions or collective proceedings.
11. Changes to These Terms
We may update or modify these Terms & Conditions at any time. Changes take effect immediately upon posting on the Website.
It is your responsibility to review these Terms periodically.
